Intellectual Property & Ownership Policy

  1. Purpose ROC.PH Digital Marketing Services recognizes the importance of intellectual property (IP) and ensures that all creations, designs, and innovations are protected. This policy outlines the ownership and usage rights of intellectual property created within or in association with ROC.PH.
  2. Scope This policy applies to all employees, independent contractors, clients, and business partners engaging in projects, services, or collaborations with ROC.PH.
  3. Definition of Intellectual Property Intellectual property includes, but is not limited to:
  • Software, source code, and web applications
  • Branding materials, logos, and trademarks
  • Marketing and advertising content
  • Proprietary business processes and strategies
  • Training materials and documentation
  • Client-specific deliverables created under contract
  1. Ownership of Work Products
  • Any work created by ROC.PH employees during their employment belongs solely to ROC.PH.
  • Contractors and freelancers must assign all IP rights of work completed for ROC.PH unless otherwise stated in contractual agreements.
  • Client-specific projects will have ownership defined in their respective agreements, specifying whether full ownership, licensing, or shared rights apply.
  • If a client fails to meet payment obligations, ROC.PH retains ownership and the right to withhold or restrict access to the intellectual property until full payment is received.
  1. Third-Party IP Usage
  • The use of third-party intellectual property must be authorized and comply with applicable copyright laws.
  • Employees must ensure that external content, software, or tools used are properly licensed.
  • Clients are responsible for providing proof of licensing for any third-party assets they request to be incorporated into their projects.
  1. IP Protection Measures
  • All employees, contractors, and business partners must take precautions to prevent unauthorized disclosure or misuse of ROC.PH’s intellectual property.
  • Legal agreements, including NDAs and work-for-hire contracts, must be executed as needed to protect sensitive business information and proprietary assets.
  • ROC.PH reserves the right to monitor, audit, and enforce its intellectual property rights, including legal action if necessary.
  1. Violation & Enforcement
  • Unauthorized use, duplication, or distribution of ROC.PH’s intellectual property is strictly prohibited.
  • Any IP created using ROC.PH’s resources, tools, or proprietary information remains the exclusive property of ROC.PH unless otherwise agreed in writing.
  • Breaches of this policy may result in disciplinary action, contract termination, or legal proceedings.
  1. Policy Review & Updates This policy will be reviewed annually and updated as necessary to reflect changes in laws, industry standards, or business practices.
